Terms of Service

By completing a payment or using any AIM product (including AI Care Manager or AIM Full Stack), you agree to these Terms of Service.

1) Contract Type

Monthly Plan

  • Rolling monthly subscription.
  • 60 days' written notice required to cancel.
  • Notice must be submitted in accordance with Section 10 (Cancellation Method).
  • Charges continue during the notice period.
  • Access remains available until the notice period ends.

Annual Plan

  • Paid upfront for a 12-month term.
  • 30-day cooling-off period from the initial payment date.
  • Cancellation within 30 days = full refund.
  • After 30 days, the plan is non-refundable and non-cancellable until the end of the term.

2) Pricing & Adjustments

  • Your agreed price remains fixed for the current contract term.
  • Pricing may change on renewal or if you:
    • add users or staff,
    • request custom features or services, or
    • materially change usage or scope.
  • Any pricing adjustment will be communicated in writing before taking effect.

3) Refunds & Billing Finality

Monthly Charges – No Pro-Rata Refunds

  • Once a monthly subscription payment has been successfully processed, it becomes non-refundable after 3 calendar days from the payment date.
  • The payment covers access to the service for that billing month and is deemed fully earned after this period.

Exceptions

  • Refunds for the current billing period will not be provided unless explicitly approved in writing by the AIM support team, at AIM's sole discretion.

Future Periods Only

  • Any approved refunds apply only to future, unused billing periods.
  • No refunds will be issued for time already elapsed or services already made available.

No Usage-Based Refunds

  • Refunds will not be issued due to lack of usage, partial usage, onboarding delays, internal operational issues, or dissatisfaction where the service remains available.

4) Automatic Renewal & Effect of Payment

  • All subscriptions renew automatically unless cancelled in accordance with these Terms.
  • Any successful subscription payment confirms continuation of the active subscription for the applicable billing period.
  • Payments do not constitute one-off transactions unless expressly stated in writing by AIM.

5) Payment Authorisation & Recurring Billing

  • By submitting a payment through AIM's checkout (including card payments processed via Stripe), you authorise AIM to:
    • store the provided payment method, and
    • charge it for recurring subscription fees in line with your selected plan.
  • This constitutes consent for ongoing charges until the subscription is validly cancelled.

Direct Debit

  • AIM does not operate Direct Debit by default.
  • Direct Debit is enabled only where explicitly approved by AIM in writing.

Payment Records

  • AIM's payment processor records (including Stripe logs) are deemed conclusive evidence of payment authorisation, billing frequency, and transaction status.
  • Claims that payment authorisation was not granted do not invalidate charges processed in accordance with these Terms and the payment provider's records.

6) Service Use, Data & IP

  • The software is provided on a SaaS basis, "as is".
  • All intellectual property rights in the software remain with AIM.
  • You retain ownership of your data.
  • AIM may use anonymised and aggregated data to improve its services.

7) Policies & Procedures (If Purchased)

Template Source

  • Policies and procedures may be prepared by independent contractors.

No AIM Liability

  • AIM does not warrant the accuracy, completeness, or suitability of third-party or contractor-provided documents and is not liable for their content, to the maximum extent permitted by law.

Your Responsibility

  • Templates are editable by design.
  • You are solely responsible for reviewing, editing, and ensuring documents meet your operational needs and all applicable laws and regulatory standards (including CQC or equivalent).

No Legal Advice

  • Documents are templates only and do not constitute legal advice.
  • You should seek advice from a qualified professional before implementation.

8) No Regulatory or Business Outcome Guarantee

  • AIM does not guarantee any regulatory outcome, inspection result, compliance rating, or business performance (including CQC ratings).
  • You remain solely responsible for regulatory compliance and operational decisions.

9) Limitation of Liability

  • To the fullest extent permitted by law, AIM will not be liable for indirect, incidental, special, or consequential damages.
  • AIM's total aggregate liability for any claim is limited to the fees paid by you to AIM in the 3 months preceding the claim.

10) Indemnity

You agree to indemnify and hold AIM harmless from claims, losses, damages, or penalties arising from:

  • your edits or implementation of templates or documents,
  • your use of the service, or
  • your failure to comply with applicable laws or regulations.

11) Breach, Non-Payment & Chargebacks

  • AIM may suspend access if payment is overdue by 30 days or more or if you materially breach these Terms.
  • Initiating a chargeback or payment dispute without first contacting AIM support may result in immediate suspension of services.
  • AIM reserves the right to recover chargeback fees and reasonable administrative costs where disputes are raised in breach of these Terms.
  • Suspension of access does not entitle you to refunds or credits.

12) Cancellation Method (Strict)

  • All cancellation notices must be submitted in writing by email to care@weaim.io.
  • Cancellation requests via WhatsApp, SMS, social media, phone calls, or verbal communication are not valid.
  • The subscription remains active and billable until:
    • a valid cancellation notice is received at care@weaim.io, and
    • the applicable notice period has fully elapsed.

13) Entire Agreement

  • These Terms constitute the entire agreement between you and AIM.
  • Verbal statements, demonstrations, or informal communications do not form part of the contract unless confirmed in writing by AIM.

14) Governing Law

  • These Terms are governed by the laws of England & Wales.
